Shareholder Communication Policy

I. Purpose

1. This Policy aims to set out the provisions for ensuring that both institutional and individual shareholders of the Company, (collectively, “Shareholders”), and, where appropriate, the investment community at large, are provided with ready, equal and timely access to balanced and understandable information about the Company. (This includes financial performance, strategic goals and plans, material developments, governance and risk profile). This information is provided to enable Shareholders to exercise their rights in an informed manner, and also to allow Shareholders and the investment community to engage actively with the Company.

2. For the purpose of this Policy, reference to the investment community is intended to include the Company's potential investors as well as analysts reporting and analyzing the Company's performance.

II. General Policy

Information shall be communicated to Shareholders and the investment community mainly through the Company’s financial reports (interim and annual reports), annual general meetings and any other general meetings, as well as by making available all disclosures to The Stock Exchange of Hong Kong Limited (“SEHK”) and its corporate communications on the HKEx website.

Effective and timely dissemination of information to Shareholders shall be ensured at all times.

The Board shall review this policy and make any changes it considers necessary to ensure effectiveness of the policy.

III. Communication Strategies

1. Shareholder Meeting

The Company holds Annual General Meetings and other general meetings in compliance with the Hong Kong Companies Ordinance and Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”). Notice of meetings and accompanying explanatory materials are prepared and sent in accordance with the requirements of the Company’s Articles of Association and the Listing Rules for the purpose of notifying shareholders well in advance the place and time for holding the general meetings and providing shareholders with sufficient and relevant information for decision making.

General meetings are the primary forum for the Company to communicate with its shareholders. The Chairman of the Board and the external auditor as well as the chairmen of the Audit Committee, the Remuneration Committee and the Nomination Committee or their duly appointed delegates will be present at the meeting to answer questions from shareholders. The Chairman of the Board, the independent financial adviser (if any) and the chairman of the Independent Board Committee (if any) or his duly appointed delegate will be available at any general meeting to consider a connected transaction or any other transaction that requires independent shareholders’ approval. Shareholders are encouraged to participate at the meetings. They can either attend the meetings in person or appoint proxies to attend and vote on their behalf.

2. Corporate Communication

All the company files addressed to the shareholders should be compiled both in Chinese and English for shareholders’ easy understanding. The interim and annual reports are the main files to deliver the financial performances and outlook during the fiscal period of the Company and its subsidiaries. The releases of such reports are subject to the time slots according to the listing rules. Upon the approval of any terms regarding the transactions mandatory to be publicly announced, the Company will inform its shareholders of such transactions by uploading the announcements to the HKEx website according to the listing rules. Transactions to be approved by a general meeting of the shareholders will be compiled into a circular and distributed to the shareholders . Company files are mailed to the shareholders at the address recorded at the Company’s share registrar in Hong Kong (“ share registrar”). If a shareholder’s address is changed, the shareholder is obligated to inform the share registrar.

3. Company website

The Company website [www.logangroup.com] contains the materials of the Company and its business. The website is updated regularly and may contain the contents from the interim report, annual report, company announcements, circulars and shareholder notices etc. The website is accessible to shareholders and the public.

4. Shareholder inquiries

  • The public materials of the Company can be obtained at any time by the shareholders and investors.

5. Communication with the capital market

The Company will regularly host various events, including investor and analyst presentations, one-on-one meetings, domestic and overseas roadshows and media activities etc., to facilitate communication between the Company and shareholders as well as the investors.

Logan Group’s board members and employees shall obey the respective law and regulation, including the disclosure responsibilities and provisions under the guidance of the GEM and mainboard listing rules of HKEx, when they contact or speak to any investors, analysts, media and other relevant parties.

IV. Shareholder privacy

The Company understands the importance of protecting shareholders’ privacy. No information about the shareholder will be disclosed without the shareholder’s permission, except for where this is authorized by law and regulations.
